EVE — Terms of Service

• "EVE", "we", "us", "our" — the EVE platform at myeveapp.com, operated by Geraz Digital LLC ("the Company").
• "Platform" — the EVE website, applications, and related services.
• "Client" — a user who posts an event request to find and hire providers.
• "Provider" — a user who offers event-related services and responds to client requests.
• "User", "you" — any person who accesses or uses the Platform, whether a Client, a Provider, or a visitor.
• "Event Services" — services offered by Providers, such as photography, DJ services, catering, decoration, and similar.
• "Reply Fee" — the fee a Provider pays to reply to a Client who has messaged them, as described in Section 6.

You must be at least 18 years old and able to form a binding contract to use EVE. By using the Platform, you represent that you meet these requirements and that all information you provide is accurate and current.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent or harmful activity.

EVE is a neutral online marketplace that connects Clients and Providers. This is the most important thing to understand about the Platform:

• EVE does not provide Event Services, does not employ Providers, and does not control, supervise, or guarantee the services, conduct, pricing, quality, timing, or safety of any Provider or Client.
• Providers are independent third parties, not employees, agents, or partners of EVE or Geraz Digital LLC. Any contract for Event Services is solely between the Client and the Provider.
• EVE is not a party to, and is not responsible for, any agreement, communication, payment, cancellation, dispute, injury, loss, or damage arising between a Client and a Provider.
• You are solely responsible for evaluating, selecting, vetting, and dealing with the other party. EVE does not conduct background checks unless expressly stated, and any verification badges are informational only and not a guarantee.

You acknowledge that you use the Platform and engage with other users at your own risk, and that EVE is not liable for the acts or omissions of any Client or Provider.

You agree to use the Platform lawfully and honestly. You will not:

• Post false, misleading, fraudulent, or infringing content, including fake events or fake reviews.
• Impersonate others, misrepresent your identity, or misstate your affiliation with any person or business.
• Harass, threaten, defame, or harm other users.
• Circumvent, disable, or interfere with the Platform, its security, or its fees.
• Use the Platform for any illegal purpose or in violation of any applicable law, license, or regulation, including those governing alcohol service, catering, food safety, and professional licensing.
• Collect or misuse other users' personal information.

You are responsible for holding any licenses, permits, insurance, and qualifications required to offer or receive Event Services. EVE does not verify these unless expressly stated.

You retain ownership of content you upload (such as portfolio images, descriptions, and reviews), but you grant Geraz Digital LLC a non-exclusive, worldwide, royalty-free license to host, display, and use that content to operate and promote the Platform.

You represent that you own or have the right to post your content and that it does not infringe any third party's rights. Reviews must reflect genuine experiences. We may moderate, remove, or decline to display content at our discretion, but we are not obligated to monitor content and are not responsible for content posted by users.

Using EVE is free for Clients. Providers may be charged a Reply Fee when they choose to reply to a Client who has messaged them. The current Reply Fee and any related charges are shown in the Platform and may be updated from time to time.

During any founding or promotional period, EVE may waive fees. When a founding period ends, standard fees apply going forward; we will make the applicable fee visible in the Platform before it is charged.

Payments are processed by a third-party payment processor (Stripe). By paying, you authorize the charge and agree to the processor's terms. EVE does not store full payment card details.

Refunds. The Reply Fee is generally non-refundable, because it pays for access to an engaged client conversation, not for a booking or a guaranteed outcome. EVE may, at its discretion, refund a fee where a contact is spam, fake, duplicate, results from a platform error, or is materially misrouted. Refund decisions are made by EVE and are final.

EVE does not process payments for the Event Services themselves. Payment for Event Services is arranged directly between Client and Provider, and EVE is not responsible for it.

EVE does not guarantee that a Client will receive responses, that a Provider will receive leads or bookings, that any event will occur, or that any transaction will be completed. Marketplace activity depends on many factors outside our control. Any projections, examples, or estimates of results are illustrative only.

The platform is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

EVE does not warrant that the Platform will be uninterrupted, secure, error-free, or that any user, service, or content is accurate, reliable, or suitable. To the fullest extent permitted by law, EVE disclaims all responsibility for the conduct, services, and content of Clients and Providers.

To the fullest extent permitted by law, Geraz Digital LLC and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or related to your use of the platform or any interaction with another user, even if advised of the possibility of such damages.

EVE's total aggregate liability for any claim arising out of or related to the platform or these terms will not exceed the greater of (a) the total fees you paid to EVE in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

You agree to indemnify and hold harmless Geraz Digital LLC and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your content, your Event Services, your interactions with other users, or your violation of these Terms or any law or third-party right.

By accepting these Terms, you acknowledge and agree that:

• You understand EVE is only a venue connecting Clients and Providers and is not responsible for the Event Services or the conduct of any user.
• You use the Platform and deal with other users at your own risk and are responsible for your own decisions.
• To the fullest extent permitted by law, you release Geraz Digital LLC and its owners and agents from claims, demands, and damages arising out of disputes with, or the acts or omissions of, other users, or arising out of Event Services arranged through the Platform.
• You agree to the fees described in Section 6 and authorize the applicable charges.

This release does not apply to liability that cannot be waived under applicable law, including liability for a party's own gross negligence, fraud, or willful misconduct.

We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or for conduct we reasonably believe is harmful to the Platform or other users. You may stop using the Platform and close your account at any time. Sections that by their nature should survive termination (including Sections 3, 8, 9, 10, 11, 13, and 14) will survive.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to any arbitration provision below, you agree that any dispute will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.

Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration rather than in court, except that either party may bring a claim in small-claims court. You and EVE waive the right to a jury trial and to participate in a class action.

We may update these Terms from time to time. Material changes will be posted on the Platform with a new "Last updated" date, and continued use after changes means you accept them. If any provision is found unenforceable, the rest remains in effect. These Terms are the entire agreement between you and Geraz Digital LLC regarding the Platform and supersede prior agreements. Our failure to enforce any right is not a waiver of it.
